Abstract : This master dissertation intends to address the recent development in the Companies Law in the Kingdome of Saudi Arabia issued by Royal decree number (M/3) dated 28/01/1437. The Law introduces and recognizes the Single – Shareholder Company a feature which was not recognized by it for years. Due to the importance of such company in terms of its unique characteristics and advantages, this dissertation offers an attempt to discuss the Single –Shareholder Company in Sharia law. In addition, the dissertation includes a section that is devoted to address the view of the Sharia law with regard to the Single- Shareholder Company. The Sharia law does not prohibit such a company because it does not involve the four sins such as usury, deception and fraud. The Saudi Legislature asserts in all commercial laws the protection of investors and others who deal with him. Thus, when the Legislature amended the Laws to recognize the Single – Shareholder Company- which rests the principle of multiple financial liability – it did not leave any gap or room for irresponsible persons to take advantages of others and steal their money . Hence, the Companies law sets forth certain obligations and penalties for facilitate pure trading. The Single – Shareholder Companies have led major economic developments globally and locally. A well known example of Single – Shareholder Company is Aramco which is owned solely by the Saudi government. Since its recognition by the Saudi Companies Law, the statistics have shown that the Ministry of Commerce and investment registered only in one year (10274) companies. Also, in one year witnessed around (1058) establishments transferring to Single – Shareholder Company. Lastly, this dissertation include a particular section to discuss the judicial application regarding disputes related to The Single – Shareholder Company in the Saudi courts to demonstrate the compatibility of commercial courts with the development of commercial laws.
